1. Who we are

PriceSynergy is provided by TODO: registered company name, a company registered in England and Wales (company number TODO: company number), whose registered office is at TODO: registered office address ("we", "us"). These terms apply between us and the business that creates a PriceSynergy account ("you"). PriceSynergy is for business use only.

2. Your account

• The person who creates the account confirms they have authority to accept these terms for your business.
• You're responsible for the people you invite, what they do in your account and keeping their sign-in secure.
• You must give us accurate information and keep it up to date.

3. The service

PriceSynergy reads marketplace data using the API keys you provide, analyses it and shows you insights, suggestions and, where you choose, sends prices you approve to the marketplace. Suggestions are information to support your decisions. You remain responsible for the prices you set and for your compliance with each marketplace's rules.

We may improve and change the service. If we remove a feature that is a material part of your plan, we'll tell you in advance and you may cancel.

4. Marketplace API keys and price changes

• You confirm you're entitled to give us access to each shop you connect.
• Prices are only sent to a marketplace when you have switched sending on and approved them. Each one is checked against the guardrails you set.
• Marketplaces control their own systems. We're not responsible for a marketplace rejecting, delaying or changing data, or for changes to their APIs.

5. Free trial, plans and payment

• New accounts get a free trial for the period shown at sign-up. No payment details are needed for the trial.
• After the trial, continued use requires a paid plan. If you don't choose one, scanning pauses until you do.
• Plans are billed monthly or annually in advance, by card (through Stripe) or Direct Debit (through GoCardless). Prices exclude VAT, which we add at the applicable rate.
• Plan limits (such as products, marketplaces and team members) are shown on our pricing page and in your account. Products over your limit may be shown with limited detail until you upgrade.
• Upgrades take effect straight away. Downgrades and cancellations take effect at the end of the current billing period. We don't refund part periods unless the law requires it.
• If a payment fails, we'll tell you and may pause the service after a grace period until it's paid.
• We may change prices with at least 30 days' notice, effective from your next renewal.

6. Acceptable use

You must not misuse the service, including by trying to access other customers' data, reverse engineering it, overloading it, reselling it without our agreement, or using it to break the law or a marketplace's terms.

7. Your data

You own your data. You give us the rights we need to provide and improve the service. Where we process personal data for you, our data processing agreement applies. Our privacy policy explains how we handle personal data as a controller. We may use aggregated, anonymised data that doesn't identify you or your customers to improve the service.

When your account ends, you can export your data for 30 days. After that we delete it, except where we must keep it by law.

8. Our intellectual property

We own the service and everything in it, apart from your data. You get a non-exclusive, non-transferable right to use it during your subscription.

9. Availability and support

We aim to keep PriceSynergy available at all times but don't guarantee uninterrupted service. Support is by email at support@pricesynergy.io.

10. Liability

• Nothing in these terms limits liability that can't be limited by law, including for death or personal injury caused by negligence, or fraud.
• We're not liable for loss of profits, sales, business or goodwill, or for indirect or consequential loss.
• Our total liability in any 12-month period is limited to the fees you paid us in that period.
• Marketplace results depend on many factors outside our control. We don't promise any particular sales, PayBox or margin outcome.

11. Ending the agreement

You can cancel at any time from Billing in the app. We may suspend or end your account if you seriously breach these terms or don't pay, after giving you notice where reasonable.

12. General

We may update these terms and will tell you about material changes in advance. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
